1. Acceptance of Terms

Welcome to KlassKeep. These Terms of Service ("Terms") constitute a legally binding agreement between you and KlassKeep ("Company," "we," "us," or "our") governing your access to and use of the KlassKeep school management platform ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a school or organization, you represent that you have the authority to bind that entity to these Terms.

Important: If you do not agree to these Terms, you may not access or use the Service. Please read these Terms carefully before using KlassKeep.

2. Description of Service

KlassKeep is a comprehensive school management platform that provides:

  • Student Information Management: Maintain student records, enrollment, and demographic information
  • Grade Management: Record, track, and report student grades and academic progress
  • Attendance Tracking: Monitor and report student attendance
  • Skill Assessments: Evaluate student competencies using customizable rubrics
  • Behavior Tracking: Log behavioral incidents and positive recognitions
  • Report Cards: Generate and distribute student report cards
  • Internal Messaging: Secure in-app messaging between parents, teachers, and school staff
  • Announcements: School-wide or targeted announcements from administrators
  • Push Notifications: Optional device notifications for new messages and updates
  • Administrative Tools: Manage staff, classes, and school settings

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice to affected users.

3. User Accounts

3.1 Account Types

KlassKeep supports the following user roles:

  • Owner: Platform administrators with access to all schools
  • Admin/Principal: School-level administrators with full access to their school's data
  • Teachers: Staff members who manage grades, attendance, and student assessments
  • Office Staff: Administrative personnel with limited access
  • Parents: View-only access to their children's information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access
  • Ensuring your contact information remains current

3.3 Account Restrictions

You agree not to:

  • Share your account credentials with others
  • Create accounts using false information
  • Access accounts belonging to others without authorization
  • Attempt to circumvent access controls or security measures

4. School Responsibilities

Schools using KlassKeep agree to:

4.1 Data Accuracy

  • Ensure all student and staff information entered is accurate and current
  • Promptly update or correct any inaccurate information
  • Remove records of students who are no longer enrolled as appropriate

4.2 Legal Compliance

  • Comply with all applicable laws, including FERPA, COPPA, and state privacy laws
  • Obtain any necessary parental consents for data collection
  • Maintain appropriate records retention policies
  • Notify parents of the school's use of KlassKeep and this service's privacy practices

4.3 User Management

  • Properly manage user accounts and access permissions
  • Promptly deactivate accounts for departing staff members
  • Train staff on appropriate use of the platform
  • Report any security incidents or concerns immediately
Note: Schools remain the "data controller" for student information. KlassKeep acts as a "data processor" providing services as directed by the school.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including privacy rights
  • Transmit harmful, offensive, or inappropriate content
  • Harass, bully, or discriminate against any person
  • Distribute malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to systems or data
  • Interfere with the proper functioning of the Service
  • Use automated tools to scrape or collect data
  • Use student data for marketing, advertising, or non-educational purposes
  • Share student information with unauthorized third parties

5.2 Content Standards

All content entered into KlassKeep must:

  • Be accurate and truthful
  • Be appropriate for an educational setting
  • Not contain discriminatory or offensive language
  • Respect the dignity of all students and staff
Violations: We reserve the right to suspend or terminate accounts that violate these policies, and to report illegal activities to appropriate authorities.

6. Data Ownership

6.1 School Data

Schools retain full ownership of all data they enter into KlassKeep, including student records, grades, attendance, and communications. We do not claim any ownership rights over your data.

6.2 Data Portability

Schools have the right to:

  • Export their data at any time in standard formats (CSV, Excel, PDF)
  • Request a complete copy of all their data
  • Request deletion of their data upon account termination

6.3 License to Use Data

By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service. This license terminates when you stop using the Service and request data deletion.

6.4 Aggregated Data

We may create anonymized, aggregated statistical data from usage patterns (e.g., "average number of tests per semester"). This aggregated data contains no personally identifiable information and may be used to improve our services.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, code, and documentation, is owned by KlassKeep and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our software
  • Reverse engineer or decompile our code
  • Use our trademarks without permission
  • Create derivative works based on our Service

7.2 Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant us a royalty-free license to use that feedback to improve our products without any obligation to you.

8. Payment Terms

8.1 Subscription Fees

Access to KlassKeep may require payment of subscription fees as specified in your service agreement. Payment terms, including pricing, billing cycles, and accepted payment methods, will be detailed in your subscription agreement.

8.2 Free Trials

We may offer free trial periods. At the end of a trial, you must subscribe to continue using the Service, or your account will be suspended.

8.3 Refunds

Refund policies are specified in your subscription agreement. Generally, subscription fees are non-refundable once a billing period has begun.

8.4 Price Changes

We may change our pricing with at least 60 days notice before your next billing cycle. Continued use after the price change takes effect constitutes acceptance of the new pricing.

9. Service Availability

9.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (typically nights/weekends with advance notice)
  • Emergency maintenance for security or stability issues
  • Circumstances beyond our reasonable control

9.2 Support

Technical support is available during business hours via email. Response times and support levels depend on your subscription plan.

9.3 Updates

We regularly update the Service to add features, fix bugs, and improve security. Updates are applied automatically. We will provide notice for major changes that affect workflows.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLASSKEEP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or data corruption
  • Loss of revenue or profits
  • Business interruption
  • Cost of substitute services

10.3 Maximum Liability

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Note: Some jurisdictions do not allow limitation of liability for certain damages. In such cases, the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless KlassKeep and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Any content you submit to the Service
  • Any claim that your use of the Service infringed the rights of a third party

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination:

  • You may request an export of your data
  • Your data will be retained for 30 days, then deleted
  • Any prepaid fees are non-refundable unless otherwise specified

12.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay applicable fees
  • Your use poses a security risk
  • We are required to do so by law

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including data ownership, limitation of liability, and indemnification) will remain in effect.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally. Most concerns can be resolved quickly through direct communication.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Luzerne County, Pennsylvania, and you consent to personal jurisdiction in those courts.

13.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Internal Communications & Messaging

14.1 Messaging Service

KlassKeep provides an internal messaging system that allows communication between authorized users within the same school, including parent-teacher messaging, staff-to-staff messaging, and group/department messaging. All messages are stored within the KlassKeep platform and are not transmitted via external email unless explicitly configured by school administrators.

14.2 Message Content & Conduct

When using the messaging features, you agree to:

  • Use messaging only for legitimate school-related communication
  • Maintain a professional and respectful tone in all messages
  • Not send harassing, threatening, discriminatory, or inappropriate content
  • Not use messaging for commercial solicitation or spam
  • Not share confidential student information beyond what is necessary and permitted
  • Respect the privacy and boundaries of other users

14.3 Message Storage & Retention

Messages sent through KlassKeep are stored on our servers and are accessible to the participants of each conversation. Messages may also be accessible to school administrators for compliance and safety monitoring purposes. Message data is subject to the same data ownership, retention, and deletion policies described in Section 6.

14.4 Announcements

School administrators may post announcements visible to staff, parents, or all users. Announcements are informational and do not require individual consent beyond acceptance of these Terms. You may not opt out of receiving school announcements while maintaining an active account.

Important: KlassKeep does not monitor the content of individual messages in real time. However, messages that violate these Terms may be reviewed if reported, and accounts may be suspended for violations of the Acceptable Use Policy (Section 5).

15. Push Notifications

15.1 Notification Service

KlassKeep may send push notifications to your device when you have installed the application and granted notification permission. Notifications are used to alert you of new messages, announcements, and other school-related updates.

15.2 Consent & Control

Push notifications require your explicit permission via your browser or device settings. You may disable notifications at any time through your device settings or browser preferences without affecting your ability to use the Service. Disabling notifications does not unsubscribe you from receiving in-app messages or announcements.

15.3 Notification Data

To deliver push notifications, we store a device-specific subscription endpoint (provided by your browser). This endpoint does not contain personal information and is used solely to route notifications to your device. Subscription data is deleted when you unsubscribe or when your account is terminated.

16. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreements, constitute the entire agreement between you and KlassKeep regarding the Service.

14.2 Amendments

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

14.6 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of war, terrorism, or government actions.
